Acceptance of Terms

By accessing and using the services provided by stellatrixis Ltd ("we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services or website.

These terms apply to all users of our services, including website visitors, prospective clients, and contracted customers. By engaging with stellatrixis, you represent that you have the legal authority to accept these terms on behalf of yourself or your organisation.

Services Description

stellatrixis provides digital marketing analytics dashboards and related services specifically designed for fitness businesses and gyms. Our services include but are not limited to:

  • Digital marketing campaign tracking and analysis
  • Performance optimisation consulting
  • Data integration and reporting services
  • Training and support services

User Obligations

When using our services, you agree to:

  • Provide accurate and complete information when requested
  • Use our services only for lawful purposes and in accordance with these terms
  • Maintain the confidentiality of any login credentials or access information
  • Notify us immediately of any unauthorised use of your account
  • Comply with all applicable laws and regulations
  • Respect the intellectual property rights of stellatrixis and third parties
  • Provide necessary data and information required for service delivery
  • Pay all fees and charges in accordance with agreed payment terms

You are responsible for ensuring that your use of our services complies with all applicable data protection laws, including GDPR where applicable.

Intellectual Property

All intellectual property rights in our services, including but not limited to software, dashboards, methodologies, reports, and documentation, remain the exclusive property of stellatrixis. This includes:

  • Proprietary analytics algorithms and methodologies
  • Dashboard designs and user interfaces
  • Software code and technical implementations
  • Training materials and documentation
  • Trademarks, logos, and brand materials

You are granted a non-exclusive, non-transferable licence to use our services during the term of your agreement. You may not copy, modify, distribute, or create derivative works based on our intellectual property without explicit written permission.

Any data, insights, or reports generated through our services that contain your business data remain your property, subject to our rights to use anonymised and aggregated data for service improvement purposes.

Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed:

  • Fees are payable in advance on a monthly or annual basis
  • All fees are quoted in Euros and exclude applicable taxes
  • Late payments may incur additional charges as specified in your service agreement
  • We reserve the right to suspend services for overdue accounts

Data Protection and Privacy

We are committed to protecting your privacy and personal data. Our data processing practices are governed by our Privacy Policy, which forms an integral part of these terms. By using our services, you also agree to our Privacy Policy.

You warrant that you have the necessary rights and permissions to share any data with us and that such sharing complies with applicable data protection laws.

Limitation of Liability

To the maximum extent permitted by law, stellatrixis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our services
  • Any unauthorised access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, trojan horses, or the like that may be transmitted through our services
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

Our total liability to you for all damages, losses, and causes of action shall not exceed the amount you have paid to stellatrixis in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

Service Availability

Whilst we strive to ensure our services are available at all times, we do not guarantee uninterrupted access. We may suspend or restrict access to our services for maintenance, updates, or other operational reasons. We will endeavour to provide reasonable notice of planned downtime where possible.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Malta. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Malta.

If you are a consumer resident in another EU member state, you may also bring proceedings in the courts of your country of residence, and nothing in these terms affects your statutory rights as a consumer.

Termination

Either party may terminate the service agreement with appropriate notice as specified in the individual service agreement. Upon termination:

  • Your access to our services will be discontinued
  • All outstanding fees become immediately due and payable
  • We will provide you with access to your data for a reasonable period to facilitate data export
  • We may delete your data after the retention period specified in our Privacy Policy

We reserve the right to suspend or terminate services immediately if you breach these terms or engage in any activity that may harm our business or other users.

Force Majeure

stellatrixis shall not be liable for any failure or delay in performance under these terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to existing clients with reasonable notice. Continued use of our services after such modifications constitutes acceptance of the updated terms.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Service will otherwise remain in full force and effect.
